HEALWELL Buys Fredericton's VeroSource for Up to $24.5M
The digital-health interoperability company behind provincial patient-access software joined TSX-listed HEALWELL AI in July 2024 — $19.6M upfront plus an earn-out of up to $4.9M.

Fredericton’s clearest digital-health exit of 2024 did not come from a campus cybersecurity lab. It came from the software that helps provincial systems open a digital front door.
On July 1–2, 2024, Toronto-listed HEALWELL AI (TSX: AIDX) closed its acquisition of VeroSource Solutions — a Fredericton-founded interoperability and patient-access platform. Consideration was $19.6 million plus a four-year performance earn-out of up to $4.9 million, matching the ~$24.5 million package HEALWELL had announced in June.
What HEALWELL bought
VeroSource, founded in 2014, builds cloud software that connects patients, clinicians, and administrators to health data — EMRs, pharmacies, hospital systems — and layers analytics on top. HEALWELL’s announcement said the company already served five provincial health clients, had logged well over one million patient and provider users since inception, and was expected to generate more than $8 million in 2024 revenue with mostly recurring sales.
The product story HEALWELL emphasized is public-sector plumbing: digital front door / patient access, FHIR interoperability, international patient summary tools, and digital identity — plus applied AI experiments such as ER wait-time prediction from live HL7 feeds. New Brunswick is named explicitly among the provincial customers in the June release.
The deal shape
HEALWELL originally pitched a two-step buy (51% then the rest). On June 28, 2024, the parties amended the agreement to take 100% at once for the same total consideration. The closing release breaks the $19.6 million into cash, HEALWELL subordinate voting shares, a promissory note, and the earn-out tied to VeroSource EBITDA growth.
CEO Mark McAllister framed the sale as scale: join HEALWELL to push digital-health products across Canada faster. For HEALWELL CEO Dr. Alexander Dobranowski, VeroSource was the enterprise data layer that could carry population-health AI into provincial systems.
Why the exit still matters in 2026
Exits set the tone for the next fundraise. VeroSource is the rare New Brunswick software sale that was already embedded in public health delivery — not a slide-deck TAM, but live provincial contracts — and still kept a Fredericton centre of gravity after joining a TSX buyer. HEALWELL’s later filings still list VeroSource as an operating Healthcare Software unit.
Put beside ClinicGlide’s early automation cheque and the longer industrial-software run of shops like Remsoft, the VeroSource deal is the digital-health proof point: NB can ship health-system software that a public company will pay mid-eight figures to own.
